These Terms are designed to comply with data protection laws across APAC (Singapore PDPA, Japan APPI, Australia Privacy Act), Middle East (UAE PDPL, Saudi Arabia PDPL), and European Union (GDPR).

Please read these Terms of Service carefully before using Letaria. By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy.

1. Acceptance of Terms

By accessing or using Letaria ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.

These Terms constitute a legally binding agreement between you and the operators of Letaria ("Letaria", "we", "us", or "our"). By using the Service, you represent and warrant that:

• You are at least 18 years of age (or the age of majority in your jurisdiction) • You have the legal capacity and authority to enter into these Terms • If acting on behalf of an organization, you have authority to bind that organization to these Terms • Your use of the Service complies with all applicable laws and regulations in your jurisdiction

These Terms apply to all visitors, users, and others who access or use the Service, regardless of their geographic location.

2. Definitions

For the purposes of these Terms:

**"Inputs"** means the requirements documents, text, data, and other content you provide to the Service for processing, including uploaded files, JIRA issues, and Azure DevOps work items.

**"Outputs"** or **"Suggestions"** means the test cases, scenarios, and other AI-generated artifacts created by the Service based on your Inputs.

**"Content"** means both Inputs and Outputs collectively.

**"Usage Data"** means technical and analytics data about how you interact with the Service, including logs, performance metrics, and feature usage statistics.

**"Personal Data"** means any information relating to an identified or identifiable natural person, as defined under applicable data protection laws including the GDPR (EU), PDPA (Singapore), APPI (Japan), Privacy Act (Australia), PDPL (UAE), and PDPL (Saudi Arabia).

**"Workspace"** means an isolated environment within the Service for organizing projects and team collaboration.

3. Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to:

**Registration Obligations:** • Provide accurate, current, and complete information during registration • Maintain and promptly update your account information to keep it accurate and complete • Keep your password secure and confidential • Accept responsibility for all activities that occur under your account • Notify us immediately of any unauthorized access or security breach

**Account Restrictions:** • You may not create multiple accounts for the same individual • You may not share your account credentials with third parties • You may not transfer your account without our prior written consent • You may not use another person's account without authorization

**Age Requirements:** • Users must be at least 18 years of age • In jurisdictions where the age of majority is higher, users must meet that threshold • For users aged 13-17 in Singapore, parental or guardian consent is required per PDPA Advisory Guidelines on Children's Personal Data

**Account Termination:** We reserve the right to suspend or terminate accounts that: • Violate these Terms or any applicable laws • Engage in fraudulent or illegal activities • Remain inactive for an extended period • At our sole discretion for any other legitimate business reason

4. Service Description

Letaria is an AI-powered platform for generating test cases from software requirements. The Service includes:

**Core Features:** • AI-powered test case and scenario generation using advanced language models • Document upload and processing (PDF, DOCX, TXT, Markdown) • Integration with third-party tools (JIRA Cloud, Azure DevOps) • Export capabilities in multiple formats (Excel, CSV, JSON) • Workspace and team collaboration features • Approval and governance workflows with digital signatures • Explainable AI with citations, rationale, and confidence scores

**Service Availability:** • The Service is provided "as is" on a commercially reasonable efforts basis • We do not guarantee uninterrupted or error-free operation • Scheduled maintenance will be communicated in advance where possible • Emergency maintenance may occur without prior notice

**AI-Generated Content Disclaimer:** • AI-generated test cases are provided as suggestions and starting points ONLY • AI technology is imperfect and may produce inaccurate, incomplete, or inappropriate outputs • You are solely responsible for reviewing, validating, and approving all AI-generated content • We do not warrant the accuracy, completeness, or fitness for purpose of AI-generated content • AI outputs should NEVER be used in production environments without thorough human review • AI-generated content may miss critical test scenarios, security vulnerabilities, or edge cases • You should not rely on AI-generated content as your sole testing strategy

**Service Modifications:** We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. We will provide reasonable notice for material changes that significantly affect your use of the Service.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

**Prohibited Activities:** • Violate any applicable local, national, or international laws or regulations • Infringe upon intellectual property rights, privacy rights, or other rights of any third party • Upload, transmit, or distribute malicious code, viruses, or any harmful content • Attempt to gain unauthorized access to any systems, networks, or data • Interfere with or disrupt the Service, servers, or networks • Reverse engineer, decompile, or attempt to extract source code from the Service • Use automated tools (bots, scrapers) to access the Service without authorization • Circumvent any security measures or access restrictions • Share your account credentials or access with unauthorized parties • Use the Service for any purpose that is harmful, fraudulent, or deceptive

**Content Restrictions:** • You may not upload content that is defamatory, obscene, threatening, or harassing • You may not upload content that promotes violence, discrimination, or illegal activities • You may not upload confidential information of third parties without authorization • You may not upload content that infringes intellectual property rights

**Compliance with Local Laws:** Users are responsible for ensuring their use of the Service complies with all applicable laws in their jurisdiction, including but not limited to: • Data protection and privacy laws • Export control regulations • Industry-specific regulations (healthcare, finance, etc.)

**Enforcement:** We reserve the right to investigate and take appropriate action against any violation of these Terms, including: • Issuing warnings • Suspending or terminating access • Removing content • Reporting to law enforcement authorities • Pursuing legal remedies

6. Intellectual Property and Content Ownership

**Our Intellectual Property:** The Service, including its original content, features, functionality, software, design, trademarks, and all related intellectual property, is owned by Letaria and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not: • Copy, modify, or distribute any part of the Service without authorization • Use our trademarks, logos, or branding without prior written consent • Remove or alter any proprietary notices from the Service

**Your Inputs:** You retain all of your right, title, and interest in and to Inputs that you provide to the Service. By providing Inputs, you grant us a limited, non-exclusive, worldwide, royalty-free license to use, process, and store your Inputs solely for the purpose of providing the Service to you.

**Outputs and Suggestions:** Letaria hereby assigns to you all of our right, title, and interest, if any, in and to any Outputs or Suggestions generated by the Service based on your Inputs. You are free to use, modify, adapt, share, or distribute such Outputs for any lawful purpose.

You acknowledge that: • Due to the nature of AI systems, similar Outputs may be generated for other users with similar Inputs • Outputs may contain errors, inaccuracies, or misleading information • You are solely responsible for reviewing and validating all Outputs before use • We do not guarantee that Outputs will meet your specific requirements

**AI TRAINING POLICY:** LETARIA WILL NOT USE YOUR CONTENT (INPUTS OR OUTPUTS) TO TRAIN, OR ALLOW ANY THIRD PARTY TO TRAIN, ANY AI OR MACHINE LEARNING MODELS, UNLESS YOU HAVE EXPLICITLY OPTED IN TO SUCH USE THROUGH YOUR ACCOUNT SETTINGS OR A SEPARATE WRITTEN AGREEMENT.

We may use Usage Data (which does not include your Content) for security, analytics, and to improve the Service. We may only disclose Usage Data to third parties in an aggregated and/or de-identified form.

**Feedback:** Any feedback, suggestions, ideas, or recommendations you provide about the Service ("Feedback") may be used by us without any obligation to you. You grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate Feedback into the Service.

7. Payment Terms

**Subscription Plans:** The Service offers various subscription tiers with different features, usage limits, and pricing. Current pricing is available on our website at letaria.app/pricing.

**Billing:** • Subscriptions are billed in advance on a monthly or annual basis • Payment is due at the beginning of each billing cycle • We accept major credit cards and other payment methods as displayed • All prices are in USD unless otherwise specified • Prices are exclusive of applicable taxes, which will be added where required

**Taxes:** • You are responsible for all applicable taxes in your jurisdiction • For users in Singapore: GST will be added where applicable • For users in the EU: VAT will be applied based on your location • For users in Saudi Arabia/UAE: VAT will be applied as per local regulations • For users in Australia: GST will be applied as required

**Refund Policy:** • All fees are non-refundable except as required by applicable law • If you cancel within 14 days of initial subscription (cooling-off period), you may request a full refund • Refunds for service issues will be considered on a case-by-case basis • No refunds for partial months or unused features

**Price Changes:** • We may modify pricing with 30 days' advance notice • Price changes take effect at the start of your next billing cycle • Continued use after price changes constitutes acceptance of new pricing • You may cancel before the new pricing takes effect

**Cancellation:** • You may cancel your subscription at any time through your account settings • Access continues until the end of your current billing period • We do not provide prorated refunds for early cancellation • Your data will be retained for 30 days after cancellation, then deleted

**Free Tier:** • The free tier is subject to usage limits as specified on our pricing page • Free tier features and limits may be modified or discontinued at any time • We may require verification for free tier accounts • Free tier accounts inactive for 90 days may be suspended

8. Data Processing and Protection

**Our Role:** When you use the Service: • For your own personal data: We act as a Data Controller • For data you upload about third parties: We act as a Data Processor on your behalf • You remain the Data Controller for any third-party data you upload

**Data Processing Agreement:** For enterprise customers and where required by applicable law, we offer a Data Processing Agreement (DPA) that complies with: • GDPR Standard Contractual Clauses (EU) • Singapore PDPA requirements • Japan APPI requirements • Australia Privacy Act requirements • UAE PDPL requirements • Saudi Arabia PDPL requirements

**Data Processing Activities:** We process your data to: • Provide and maintain the Service • Generate AI-powered test cases from your requirements • Communicate with you about the Service • Improve and develop new features • Comply with legal obligations • Protect against fraud and abuse

**AI Processing:** • Your requirements documents are sent to AI models for test case generation • AI processing is performed using industry-leading security measures • We do not use your data to train our AI models without explicit consent • AI processing may involve data transfer to our technology partners (see Privacy Policy)

**Data Security:** We implement industry-standard security measures including: • Encryption in transit (TLS 1.3) and at rest (AES-256) • Regular security audits and penetration testing • Access controls and authentication requirements • Incident response procedures

**Data Retention:** • We retain your data for as long as your account is active • Upon account deletion, data is deleted within 30 days • Some data may be retained longer for legal compliance • Backups are purged within 90 days

**Data Breach Notification:** In the event of a data breach affecting your Personal Data, we will: • Notify affected users within 72 hours (GDPR requirement) • Report to relevant authorities as required by applicable laws: - Singapore PDPC: within 3 calendar days - Japan PPC: preliminary report within 3-5 days, final report within 30 days - Saudi Arabia SDAIA: as per PDPL requirements - UAE Data Office: immediately upon becoming aware - Australia OAIC: as soon as practicable • Provide details about the nature and scope of the breach • Describe measures taken to address and mitigate the breach

9. Cross-Border Data Transfers

**International Operations:** Letaria operates globally and may transfer your Personal Data to countries outside your country of residence for processing and storage.

**Transfer Safeguards:** We ensure appropriate safeguards are in place for international data transfers:

**European Economic Area (EEA):** • Transfers to countries with EU adequacy decisions • Standard Contractual Clauses (SCCs) for transfers to non-adequate countries • Supplementary measures where required

**Singapore:** • Compliance with PDPA transfer requirements • Contractual arrangements ensuring comparable protection • Data protection standards equivalent to PDPA

**Japan:** • Compliance with APPI cross-border transfer requirements • Personal information protection systems in place • Contractual guarantees with receiving entities

**Australia:** • Compliance with Australian Privacy Principles (APPs) • Reasonable steps to ensure overseas recipients comply • Contractual protections for transferred data

**Saudi Arabia:** • SDAIA approval obtained where required • Compliance with PDPL cross-border transfer restrictions • Appropriate safeguards and contractual protections

**UAE:** • Compliance with PDPL transfer requirements • Adequate protection measures in place • Data Office guidance followed

**Your Consent:** By using the Service, you acknowledge and consent to the transfer of your Personal Data to countries outside your residence for the purposes described in these Terms and our Privacy Policy.

**Data Localization:** For enterprise customers with specific data residency requirements, please contact us to discuss available options.

10. Limitation of Liability

**IMPORTANT DISCLAIMER - PLEASE READ CAREFULLY:**

THE SERVICE USES ARTIFICIAL INTELLIGENCE TO GENERATE TEST CASES AND SUGGESTIONS. AI TECHNOLOGY IS INHERENTLY IMPERFECT AND MAY PRODUCE INACCURATE, INCOMPLETE, MISLEADING, OR INAPPROPRIATE OUTPUTS. YOU MUST INDEPENDENTLY VERIFY ALL AI-GENERATED CONTENT BEFORE USE.

**Disclaimer of Warranties:** TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory • We expressly disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and availability • We do not warrant that the Service will be uninterrupted, timely, secure, or error-free • We do not warrant that defects will be corrected or that the Service is free of viruses or other harmful components • We do not warrant the accuracy, completeness, reliability, or suitability of any AI-generated content, Outputs, or Suggestions • We do not warrant that the Service or AI-generated content will meet your specific requirements or expectations • We do not warrant that AI-generated test cases will identify all defects, bugs, or issues in your software

**AI-Specific Disclaimers:** YOU EXPRESSLY UNDERSTAND AND AGREE THAT:

• AI-generated Outputs and Suggestions are PROVIDED FOR INFORMATIONAL AND ASSISTIVE PURPOSES ONLY • AI-generated content is NOT a substitute for professional judgment, expertise, or manual review • AI-generated test cases may contain errors, omissions, gaps, or inaccuracies • AI-generated content may not cover all edge cases, security vulnerabilities, or critical scenarios • The AI may misinterpret requirements or produce irrelevant, redundant, or incorrect test cases • Similar Inputs may produce different Outputs at different times • YOU ARE SOLELY RESPONSIBLE for reviewing, validating, and approving all AI-generated content before use • YOU ASSUME ALL RISK associated with using AI-generated content in your software development lifecycle

**No Professional Advice:** The Service does not provide professional, legal, security, compliance, or quality assurance advice. AI-generated content should not be relied upon as a complete testing strategy. You should consult qualified professionals for critical systems, regulated industries, or high-risk applications.

**Limitation of Liability:** TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• IN NO EVENT SHALL LETARIA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES • We shall not be liable for any loss of profits, revenue, data, business opportunities, goodwill, or anticipated savings • We shall not be liable for any damages arising from: - Your reliance on AI-generated content, Outputs, or Suggestions - Errors, inaccuracies, or omissions in AI-generated content - Defects, bugs, or issues in your software that were not detected by AI-generated test cases - Security vulnerabilities, data breaches, or system failures in your software - Business decisions made based on AI-generated content - Interruption, suspension, or termination of the Service - Loss, corruption, or unauthorized access to your data - Actions of third-party services or integrations (JIRA, Azure DevOps, etc.) - Unauthorized access to your account or data breach affecting the Service - Force majeure events or circumstances beyond our reasonable control

• OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: - The total amount paid by you to us in the three (3) months immediately preceding the event giving rise to the claim, or - Fifty US dollars (USD $50)

**Data and Security Disclaimer:** While we implement industry-standard security measures to protect your data: • We do not guarantee that unauthorized access, hacking, data loss, or data breach will never occur • We are not liable for any damages resulting from security incidents, provided we have exercised reasonable care • You are responsible for maintaining backups of your data • You acknowledge that no method of electronic transmission or storage is 100% secure

**Third-Party Services:** • We are not liable for the availability, accuracy, or performance of third-party services (JIRA, Azure DevOps, Google AI, etc.) • Integration failures or data inconsistencies from third-party services are not our responsibility • Third-party services are governed by their own terms and privacy policies

**Exceptions:** These limitations do not apply to: • Liability that cannot be excluded or limited under applicable law • Fraud or fraudulent misrepresentation by Letaria • Gross negligence or willful misconduct by Letaria • Death or personal injury caused by our negligence • Any other liability that cannot be lawfully excluded

**Risk Acknowledgment:** BY USING THE SERVICE, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT: • You use the Service and AI-generated content entirely at your own risk • You are solely responsible for determining the suitability of AI-generated content for your purposes • You will review, test, and validate all AI-generated content before use in any environment • You will not use AI-generated content in production, safety-critical, or regulated systems without thorough independent review • Any reliance on AI-generated content is at your sole discretion and risk • We have no liability for any consequences arising from your use of AI-generated content

**Jurisdictional Variations:** • For users in Australia: Consumer guarantees under Australian Consumer Law are not excluded where they apply • For users in the EU: Statutory consumer rights under applicable EU law are not affected • For users in Singapore: Rights under the Consumer Protection (Fair Trading) Act are not affected where applicable • For users in other jurisdictions: Local mandatory consumer protections apply to the extent required by law

11. Indemnification

You agree to indemnify, defend, and hold harmless Letaria, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:

**Indemnified Claims:** • Your use of the Service • Your violation of these Terms • Your violation of any applicable laws or regulations • Your violation of any third-party rights, including intellectual property rights and privacy rights • Content you upload to the Service • Your use of AI-generated content • Any third-party claims arising from your products or services that incorporate AI-generated content • Your failure to comply with data protection obligations when acting as a Data Controller

**Indemnification Process:** • We will promptly notify you of any claim subject to indemnification • You will have the right to control the defense of such claims • We reserve the right to participate in the defense at our own expense • You will not settle any claim without our prior written consent if it would impose obligations on us

**Limitations:** This indemnification obligation does not apply to claims arising solely from: • Our gross negligence or willful misconduct • Our breach of these Terms • Defects in the Service caused by us

12. Termination

**Termination by You:** You may terminate your account at any time by: • Using the account deletion feature in your settings • Contacting us at support@letaria.app

**Termination by Us:** We may terminate or suspend your account immediately, without prior notice or liability, for: • Breach of these Terms • Non-payment of fees • Suspected fraudulent, illegal, or harmful activity • Violation of applicable laws or regulations • Extended account inactivity • At our sole discretion for any legitimate business reason

**Effects of Termination:** Upon termination: • Your right to use the Service ceases immediately • Your access to the Service will be revoked • Your data will be retained for 30 days, then deleted (unless legally required to retain) • You remain liable for any fees accrued before termination • You remain bound by provisions that by their nature should survive termination

**Survival:** The following provisions survive termination: • Intellectual Property Rights • Limitation of Liability • Indemnification • Governing Law and Dispute Resolution • General Provisions

**Data Export:** Before terminating your account, we recommend: • Exporting any data you wish to retain • Downloading AI-generated content you need • Backing up your workspace configurations

13. Governing Law and Dispute Resolution

**Governing Law:** These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law provisions.

**Jurisdiction:** The courts of the Republic of Singapore shall have exclusive jurisdiction over any disputes arising from or relating to these Terms, except as provided below for arbitration.

**Arbitration:** For any dispute, claim, or controversy arising out of or relating to these Terms or the Service:

• The parties agree to first attempt to resolve the dispute through good-faith negotiation • If negotiation fails within 30 days, the dispute shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) • The arbitration shall be conducted in English • The seat of arbitration shall be Singapore • The arbitral tribunal shall consist of one arbitrator • The arbitration award shall be final and binding

**Exceptions to Arbitration:** The following matters are excluded from arbitration: • Claims for injunctive or equitable relief • Intellectual property disputes • Claims within the jurisdiction of small claims courts • Disputes that applicable law requires be resolved in court

**Class Action Waiver:** To the extent permitted by applicable law, you waive any right to participate in class action lawsuits or class-wide arbitration against us.

**Regional Considerations:** • For users in the EU: You may have the right to bring claims in your country of residence • For users in Australia: Nothing in these Terms limits your rights under Australian Consumer Law • For users in Japan: Mandatory consumer protection laws may apply • For users in Saudi Arabia/UAE: Local courts may have jurisdiction for certain matters

14. Changes to Terms

**Modification Rights:** We reserve the right to modify these Terms at any time. Changes may be made for reasons including: • Legal or regulatory requirements • Changes to the Service • Security enhancements • Clarification of existing terms • Business or operational needs

**Notification of Changes:** We will provide notice of material changes by: • Posting the updated Terms on our website with a new "Last Updated" date • Sending an email to the address associated with your account • Displaying a prominent notice within the Service • For significant changes, providing at least 30 days' advance notice

**Acceptance of Changes:** • Continued use of the Service after changes take effect constitutes acceptance • If you disagree with any changes, you should stop using the Service • For material changes, we may require explicit acceptance before continued use

**Review Recommendation:** We encourage you to review these Terms periodically to stay informed of any updates. The current version will always be available at letaria.app/terms.

15. General Provisions

**Entire Agreement:** These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Letaria regarding the Service.

**Severability:** If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

**Waiver:** Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by us.

**Assignment:** • You may not assign or transfer these Terms without our prior written consent • We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets • Any attempted assignment in violation of this section shall be void

**No Third-Party Beneficiaries:** These Terms do not create any third-party beneficiary rights, except as expressly stated.

**Force Majeure:** We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of government, war, terrorism, labor disputes, or infrastructure failures.

**Notices:** • Notices to you will be sent to the email address associated with your account • Notices to us should be sent to legal@letaria.app • Notices are deemed received when sent (for email) or when delivered (for physical mail)

**Language:** These Terms are written in English. If translated into other languages, the English version shall prevail in case of any conflict.

**Headings:** Section headings are for convenience only and do not affect the interpretation of these Terms.

By using Letaria, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.

These Terms are governed by the laws of Singapore. For users in other jurisdictions, local consumer protection laws may provide additional rights.
