Website and Engagement Coverage
These Terms cover the public site, discovery interactions, and Letaria-hosted pilot or private solution environments. Client-specific agreements may add or override commercial, delivery, security, or data-handling terms.
Read these Terms before using Letaria or participating in any Letaria-hosted pilot, workspace, or delivery environment.

1. Acceptance and Scope
These Terms of Use govern your access to the Letaria public website, any discovery or demo materials we share, and any pilot, private workspace, prototype, or deployment we make available to you or your organization (collectively, the "Services").
If you are using Letaria on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms. If a master services agreement, statement of work, order form, pilot agreement, or other written agreement with Letaria applies to your use of the Services, that separate agreement controls to the extent of any conflict with these Terms.
By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.
2. Definitions
For the purposes of these Terms:
**"Services"** means the Letaria website, discovery engagements, demos, pilots, private deployments, project workspaces, and related delivery environments or materials.
**"Client Materials"** means documents, data, tickets, credentials, workflow context, and other materials submitted by you or your organization for evaluation, configuration, or processing.
**"Outputs"** means AI-assisted analyses, generated content, workflow suggestions, reports, and similar artifacts produced from Client Materials.
**"Deliverables"** means project-specific work product that Letaria provides as part of an engagement, which may include Outputs, prototypes, configurations, documentation, or implementation artifacts.
**"Authorized User"** means an individual permitted by Letaria or by a client administrator to access a private Letaria environment.
**"Usage Data"** means technical, diagnostic, security, and analytics data about how the Services are accessed or used, excluding the substance of Client Materials unless expressly stated otherwise.
3. Access and Authorized Users
Letaria is not presented through this site as a public self-serve SaaS subscription. Access may be provided through an inquiry process, a discovery engagement, an invitation, a client-managed identity provider, or other written approval from Letaria.
If you are an Authorized User, you agree to: • Provide accurate and current business contact information when requested • Keep credentials, access tokens, and links secure • Use the Services only within the scope approved by Letaria or the relevant client • Comply with applicable law, these Terms, and any client security or acceptable use rules that apply to the engagement • Notify us promptly of suspected unauthorized access, security incidents, or misuse
Client administrators may control your access within private deployments. We may suspend, limit, or revoke access where reasonably necessary for security, legal compliance, breach investigation, or the end of an engagement.
4. Service Description and Human Review
Letaria provides solution design and delivery services built around AI-assisted workflows, document-heavy operations, automation, and execution environments. Depending on the engagement, the Services may include discovery workshops, pilot builds, private workflow environments, integrations, reporting, governance flows, and project-specific Deliverables.
Not every feature referenced on the website is available in every engagement. Some capabilities may be exploratory, case-study-based, client-specific, or subject to separate scoping and approval.
AI-assisted Outputs are provided to support human decision-making, not replace it. You remain responsible for reviewing, validating, approving, and deciding how to use any Output or Deliverable before operational, legal, security, compliance, or production use.
5. Acceptable Use
You may use the Services only for lawful purposes and only if you have the right to provide the relevant Client Materials.
You must not: • Violate applicable law, regulation, contractual duties, or third-party rights • Submit malware, harmful code, or materials intended to disrupt the Services • Attempt to gain unauthorized access to systems, accounts, integrations, or data • Probe, scan, reverse engineer, or bypass security or access controls except where expressly authorized in writing • Use the Services to build or benchmark a competing service without our written consent • Share access with unauthorized parties or impersonate another user or organization • Submit highly sensitive, regulated, or third-party confidential data unless the engagement expressly permits it and you have the necessary authority to do so • Use the Services in a deceptive, abusive, or unsafe manner
We may investigate suspected misuse and take reasonable action, including restricting access, removing materials, notifying affected clients, or referring matters to law enforcement where appropriate.
6. Intellectual Property, Client Materials, and Feedback
Each party retains ownership of its pre-existing intellectual property, confidential information, and proprietary materials.
You or your organization retain rights in Client Materials. You grant Letaria a limited, non-exclusive right to host, copy, process, transmit, and use Client Materials only as needed to provide the Services, support the engagement, protect the Services, and comply with law.
Letaria retains all rights in its platform, software, templates, methods, models, prompts, orchestration logic, documentation format, and general know-how, including improvements developed in the course of providing the Services. Ownership or licensing of project-specific Deliverables may be further defined in a separate written agreement. Unless otherwise agreed in writing, Letaria grants you a non-exclusive right to use engagement-specific Deliverables provided to you for your internal business purposes.
**AI TRAINING POLICY:** LETARIA WILL NOT USE CLIENT MATERIALS, OUTPUTS, OR DELIVERABLES TO TRAIN, OR ALLOW ANY THIRD PARTY TO TRAIN, ANY AI OR MACHINE LEARNING MODEL UNLESS YOU OR YOUR ORGANIZATION HAVE EXPRESSLY AGREED TO THAT USE IN WRITING.
If you provide feedback, suggestions, or recommendations about the Services, Letaria may use them without restriction and without obligation to you, so long as we do not disclose your confidential information when doing so.
7. Commercial Terms
Commercial scope, fees, milestones, service levels, payment timing, support commitments, acceptance criteria, and deployment responsibilities are governed by the proposal, statement of work, order form, pilot agreement, or other written commercial terms that apply to the engagement.
These Terms do not create any entitlement to a public subscription, per-seat plan, or always-on production environment. If no separate commercial agreement applies, Letaria may decline to provide Services beyond general website access and inquiry handling.
Unless otherwise stated in the applicable written agreement: • Fees are non-refundable once Services have been delivered or reserved • Taxes, duties, and similar charges are additional where required by law • Late payments may delay access, delivery, support, or renewal activity • Change requests may require revised scope, timing, or fees
8. Data Processing, Security, and Confidentiality
For website visitors, inquiry submitters, and commercial contacts, Letaria generally acts as the controller of relevant personal data. For client data processed in a private deployment or under client instruction, Letaria generally acts as a processor or service provider unless a written agreement states otherwise.
You or your organization are responsible for ensuring that Client Materials may lawfully be shared with Letaria and processed for the purposes of the engagement, including where third-party personal data, regulated data, or confidential data is involved.
Letaria may use subprocessors, hosting providers, identity providers, communications tools, and AI technology providers to deliver the Services. We implement reasonable technical and organizational safeguards, but no system is completely error-free or immune from security incidents.
Where required, Letaria can enter into a data processing agreement or equivalent data-handling addendum. Our collection and handling of personal data are described further in the Privacy Policy.
9. International Transfers and Deployment Regions
Letaria operates with teams, infrastructure, and service providers that may be located in multiple jurisdictions. Depending on the engagement, Client Materials and related personal data may be processed in Singapore, the United States, the client-selected deployment region, or other locations where approved service providers operate.
Where applicable, we rely on contractual commitments, deployment choices, access controls, and other safeguards to support lawful international transfers. If your organization requires specific residency, segregation, or transfer restrictions, those requirements must be agreed in writing as part of the engagement.
10. Warranties, Disclaimers, and Limitation of Liability
Except as expressly stated in a separate written agreement, the Services are provided on an "as is" and "as available" basis. Letaria does not warrant uninterrupted availability, error-free performance, or that the Services will achieve any specific commercial, technical, legal, security, or operational outcome.
AI-assisted Outputs and Deliverables may contain errors, omissions, incorrect assumptions, or incomplete analysis. They are not legal advice, security advice, compliance advice, or professional certification. You are responsible for any review, testing, approval, and implementation decisions made using them.
To the maximum extent permitted by law, Letaria will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, business opportunity, or data. To the maximum extent permitted by law, Letaria's aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of: • The fees paid to Letaria for the relevant Services in the three months preceding the event giving rise to the claim, or • USD $50
Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for fraud, willful misconduct, or other liabilities that mandatory law does not permit us to disclaim or limit.
11. Indemnification
You agree to defend, indemnify, and hold harmless Letaria and its personnel from third-party claims, damages, liabilities, and reasonable costs arising out of or related to: • Your or your organization's breach of these Terms • Client Materials submitted without the necessary rights, notices, or permissions • Your misuse of the Services, Outputs, or Deliverables • Your violation of applicable law, regulation, or third-party rights
This indemnity does not apply to the extent a claim arises from Letaria's own gross negligence, willful misconduct, or breach of a separate written agreement that controls the engagement.
12. Suspension, Termination, and Effect
You may stop using the public website at any time. Access to a pilot, private workspace, or deployment may end when the relevant engagement ends or when Letaria or the applicable client withdraws authorization.
Letaria may suspend or terminate access immediately if reasonably necessary for security, legal compliance, non-payment, breach investigation, client instruction, or misuse of the Services.
On suspension or termination: • Your right to access the affected Services ends immediately unless otherwise agreed in writing • Letaria may disable credentials, integrations, and environment access • Data return, export, retention, and deletion will follow the applicable written agreement, privacy commitments, or standard retention practices where no separate agreement applies • Provisions that by their nature should survive termination will continue to apply
13. Governing Law and Dispute Resolution
Unless a separate written agreement states otherwise, these Terms are governed by the laws of the Republic of Singapore, excluding its conflict-of-laws rules.
The parties will first attempt to resolve disputes through good-faith discussion. If a dispute is not resolved through discussion, it will be submitted to arbitration administered by the Singapore International Arbitration Centre in Singapore, in English, before a single arbitrator, unless applicable law requires a different forum or procedure.
Either party may seek interim or injunctive relief in a court of competent jurisdiction where necessary to protect confidential information, intellectual property, or security interests.
14. Changes to These Terms
Letaria may update these Terms from time to time to reflect changes to the Services, law, security posture, or business operations.
If we make a material change, we will update the effective date on this page and may also provide notice by email, within a private environment, or through another reasonable channel when appropriate. Continued use of the Services after the updated Terms take effect means you accept the revised Terms.
15. General Provisions
These Terms, together with the Privacy Policy and any written agreement that expressly incorporates them, form the entire agreement between you and Letaria regarding the Services covered here.
If any provision is found unenforceable, the remaining provisions remain in effect. A failure to enforce any provision is not a waiver. You may not assign these Terms without Letaria's prior written consent, while Letaria may assign them in connection with a corporate reorganization, merger, financing, or sale of assets.
Section headings are for convenience only. The English-language version of these Terms controls if a translated version conflicts with it.
